Docs
Clausewatch reads every contract you upload, flags the clauses worth a second look, and lets you test a proposed amendment against the parent agreement before anyone signs it. This page covers how the upload, review, and simulate flows work.
Uploading a contract
Upload accepts .pdf and .docx files. Clausewatch parses the document to extract its clauses, parties, and key terms.
Vendor name is optional. If you leave it blank, Clausewatch fills it in from the parsed contract text where it can.
Parent contract is also optional. Link an upload to an existing contract when it's an amendment or addendum to an agreement already in the system, so the two stay connected. Leave it unset for a standalone, master agreement.
Review flow
Every contract carries a status that reflects where it is in processing and review:
uploadedThe file has been received and is queued for parsing.extractingClausewatch is parsing the contract to pull out clauses, parties, and terms.needs_reviewExtraction is done and the contract has clauses flagged for a person to look at.activeThe contract has been reviewed and is in effect.archivedThe contract is no longer active and is kept for record.Simulating an amendment
The simulate page lets you test a proposed change against a contract before it's signed. Choose a scenario, such as adding seats to a product or a change of control, and Clausewatch calculates the resulting exposure.
The result shows a total dollar exposure broken into line items, whether the contract's liability cap kicks in and caps that total, and the provenance behind each line, tracing it back to the specific clause and quoted text it came from.
